Boombox Shops Terms & Conditions

1. Introduction
Welcome to Boombox Shops! By accessing or using our peer-to-peer marketplace platform (“Platform”), which includes our website and mobile application (“App”), you agree to comply with these Terms and Conditions (“Terms”). These Terms govern your use of the Platform, provided by Mindy’s World, Inc. (“Company,” “we,” “our,” or “us”). If you do not agree with these Terms, you should not use the Platform.
2. Eligibility
You must be at least 18 years old to sell on the Platform. By using the Platform, you represent and warrant that you meet this eligibility requirement.
3. Account Registration
To access certain features of the Platform, you must create an account. You are responsible for maintaining the confidentiality of your account login information and for all activities that occur under your account. You agree to provide accurate, current, and complete information during the registration process.
4. Use of the Platform
Boombox Shops is a peer-to-peer marketplace where users can buy and sell rave and festival clothing and accessories. You agree to use the Platform only for lawful purposes and in accordance with these Terms. By using the Platform, you agree that:
- You will comply with all applicable laws and regulations.
- You will not use the Platform for any fraudulent or illegal activities.
- You are responsible for your listings and transactions, including the accuracy of your item descriptions and fulfillment of sales.
5. Listings and Transactions
- Sellers are solely responsible for ensuring the accuracy of the listings, including product descriptions, pricing, and images.
- Buyers are responsible for reviewing the listings and making informed purchasing decisions. All sales are final unless otherwise agreed between the buyer and seller.
- Boombox Shops is not responsible for any transactions, disputes, or issues between buyers and sellers, but we encourage users to resolve disputes amicably. If necessary, you may contact us for assistance at hello@boomboxshops.com.
6. Marketplace Fees
- Boombox Shops may charge service fees for listing or selling on the Platform. All applicable fees are clearly outlined in the Help Center under the ‘Payment and Fees’ section.
- We reserve the right to modify these fees at any time. Any changes will be communicated in advance and will not apply retroactively to transactions completed before the effective date of the change.
7. Stripe Payments
All transactions on Boombox Shops must be processed through our third-party payment provider, Stripe.
- Stripe enables sellers to accept payments via major credit and debit cards, Apple Pay, Google Pay, and Klarna (where available). Buyers must complete all purchases through Stripe’s secure payment gateway.
- To list an item for sale on Boombox Shops, you must consent to the transfer of your personal information to Stripe for the purpose of creating a Stripe account. You also confirm that the information you provide is accurate and up-to-date.
- By making or receiving payments on Boombox Shops, you agree to the Stripe Connected Account Agreement and the Stripe Services Agreement.
8. Shipping
- Buyers are responsible for covering the cost of shipping in addition to the item price. Shipping fees will be clearly displayed at checkout.
- Sellers are responsible for securely packaging and promptly shipping items to buyers. By listing an item for sale, you agree to:
- Dispatch the item to the buyer’s provided address as soon as possible and no later than 7 days after the sale is confirmed
- Comply with all local shipping and delivery regulations
- Provide valid proof of tracked shipping in the event that an item is not delivered. This proof must clearly show that the item was shipped and sent to the correct buyer’s address
- Reimburse Boombox Shops for any additional charges incurred from the shipping carrier due to discrepancies (e.g., exceeding weight limits or incorrect package dimensions)
9. Prohibited Items
Certain items are prohibited on Boombox Shops, including but not limited to:
- Illegal or counterfeit items
- Weapons, drugs, or hazardous materials
- Stolen goods
- Offensive or inappropriate content We reserve the right to remove any listings that violate these rules at our sole discretion.
10. Taxes
- Federal Threshold: You will receive a Form 1099-K from Stripe if your total gross payment volume through Boombox Shops in the previous calendar year meets or exceeds the IRS reporting threshold. As of 2025, the federal threshold is $5,000 USD in total gross payments for goods and services.
- State Thresholds: Some states have their own reporting requirements with lower thresholds. You may receive a 1099-K even if you do not meet the federal threshold, depending on your state’s rules.
- Important Note: Even if you don’t receive a 1099-K, you are still responsible for reporting all taxable income on your tax return.
11. Intellectual Property
All content on the Platform, including text, graphics, logos, and images, is the property of Boombox Shops or its content suppliers and is protected by copyright, trademark, and other intellectual property laws. You agree not to use any of this content without prior written permission from Boombox Shops.
12. Limitation of Liability
Boombox Shops provides the Platform on an “as is” and “as available” basis without any warranties, express or implied. To the fullest extent permitted by law, Boombox Shops disclaims all warranties, including but not limited to the accuracy of the content, the availability of the Platform, and the safety of transactions. In no event shall Boombox Shops be liable for any indirect, incidental, or consequential damages arising from the use or inability to use the Platform.
13. Indemnification
You agree to indemnify, defend, and hold harmless Boombox Shops, its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney’s fees, arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, or any dispute between you and another user.
14. Termination
We reserve the right to terminate or suspend your account or access to the Platform at any time, for any reason, including if you violate these Terms. Upon termination, you will no longer have access to your account or any content associated with it.
15. Mobile Application Use
If you access the Platform through a mobile application (“App”), the following terms apply:
- App Store Terms: You acknowledge that these Terms are between you and Boombox Shops, not with the app store provider (e.g., Apple App Store, Google Play Store). You agree to comply with the applicable app store’s terms of service.
- License to Use: Boombox Shops grants you a non-exclusive, non-transferable, revocable license to download and use the App on compatible mobile devices in accordance with these Terms.
- Updates: We may release updates, patches, or bug fixes to improve the App’s performance. You agree to download and install such updates as necessary for the continued proper functioning of the App.
16. Platform-Specific Terms
Your use of Boombox Shops may be subject to additional terms depending on the platform you use (i.e., web browser, mobile app). You agree that:
- Browser Compatibility: You are responsible for ensuring that you use the latest browser versions to ensure compatibility with our website.
- Device Responsibility: You are responsible for ensuring that your device, whether mobile or desktop, meets the technical requirements to use the Platform. This includes security features like antivirus protection.
- Data Charges: When accessing the Platform via mobile devices, standard carrier data rates and fees may apply. Boombox Shops is not responsible for any charges you may incur from your mobile carrier.
17. Push Notifications & SMS
If you opt-in to receive push notifications or SMS messages through the App:
- Opt-In: By providing your mobile number or enabling push notifications, you consent to receiving communications from Boombox Shops regarding updates, promotional offers, or other relevant information.
- Opt-Out: You can opt out of receiving these notifications at any time by adjusting your notification preferences in your device settings.
18. User-Generated Content
Both the website and app may allow users to upload content (e.g., photos, reviews, etc.)
- Ownership: You retain ownership of the content you upload or submit to Boombox Shops (e.g., product listings, reviews, etc.), but by submitting it, you grant Boombox Shops a worldwide, non-exclusive, royalty-free license to use, distribute, and display that content on the Platform.
- Content Guidelines: You agree that your content will not violate any applicable laws, infringe on intellectual property rights, or be harmful, defamatory, or offensive. Boombox Shops reserves the right to remove any content that violates these guidelines.
19. Security
- Account Security: You are responsible for maintaining the security of your account, including safeguarding your login credentials on all devices.
- Data Security: While we take reasonable measures to protect your data, no system is completely secure. You acknowledge that you use the Platform at your own risk, and Boombox Shops disclaims any liability for unauthorized access to your data, whether through the website or the app.
20. Cookies and Tracking Technologies
- Cookies: We use cookies and similar technologies to improve your experience on the Platform. You can control cookie preferences through your browser settings or device settings, though doing so may impact the functionality of the Platform.
- Analytics: Boombox Shops may use analytics tools (e.g., Google Analytics) to track usage patterns and improve the user experience across both the website and the app.
21. Third-Party Services and Links
- Third-Party Links: The Platform may contain links to third-party websites or services that are not owned or controlled by Boombox Shops. We are not responsible for the content, privacy practices, or actions of these third-party sites.
- Third-Party Integrations: Boombox Shops may integrate with third-party services (e.g., Stripe for payments). By using these third-party services through our Platform, you agree to their terms and conditions and privacy policies.
22. Dispute Resolution
22.1 Informal Dispute Resolution
If you have any dispute or concern regarding your use of Boombox Shops, you agree to first attempt to resolve the issue informally by contacting us at hello@boomboxshops.com. We will work in good faith to resolve the dispute.
Both parties agree to engage in good faith efforts to resolve any dispute informally. You agree to wait at least 90 days from the date you notify us of the dispute before escalating the matter to arbitration or other formal legal action.
22.2 Binding Arbitration
If the dispute cannot be resolved informally after 90 days, either party may initiate binding arbitration. You agree that any claim or controversy arising out of or relating to these Terms or your use of the Platform shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will take place in Los Angeles County, California, or at another mutually agreed location, and the decision of the arbitrator will be final and binding on all parties.
- Waiver of Court Proceedings: You understand and agree that by entering into these Terms, you are waiving your right to a trial by jury or to participate in a class action.
- Exception – Small Claims Court: You retain the right to seek relief in a small claims court for disputes or claims within the scope of small claims court jurisdiction.
22.3 Class Action Waiver
You agree that any arbitration or other legal proceeding shall be conducted only on an individual basis and not as a class, consolidated, or representative action. You waive your right to participate in any class action lawsuit or class-wide arbitration against Boombox Shops.
22.4 Governing Law
This Dispute Resolution section is governed by the Federal Arbitration Act (FAA) and the laws of the State of California.
23. Governing Law
These Terms are governed by the laws of the United States and the State of California, without regard to its conflict of laws principles. Any disputes arising out of or in connection with these Terms shall be resolved exclusively in the federal or state courts located in Los Angeles County, California.
24. Changes to Terms
We may update or revise these Terms periodically. Any changes will become effective immediately upon posting on the Platform, with the updated “Last Updated” date clearly displayed at the top of this page. Your continued use of the Platform after such changes constitutes your acceptance of the revised Terms.
